These Terms of Service ("Terms") form a legal agreement between you ("you," "your," or "Client") and CLICKWISE SOLUTIONS OÜ ("Click Wise," "we," "us," or "our"), a company registered in Estonia. These Terms govern your use of our website (clickwise.io), custom advertising software platforms, digital marketing services, and all related features and content (collectively, the "Services").

By accessing or using our Services, you confirm that you've read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Cookie Policy. If you don't agree with these Terms, please don't use our Services.

We may update these Terms from time to time. When we make significant changes, we'll notify you by email or through a prominent notice on our platform. Your continued use of our Services after changes take effect means you accept the updated Terms.

To use Click Wise's Services, you must meet these requirements:

• You must be at least 18 years old or the age of legal majority in your country
• You have the legal authority to enter into binding agreements
• You're not prohibited by law from using our Services

We reserve the right to refuse service, suspend, or close accounts if we suspect fraudulent activity, violations of these Terms, or behavior that could harm our platform or other users.

When using Click Wise, you agree to follow all applicable laws and these Terms. Specifically, you agree NOT to:

• Use our Services for any illegal, fraudulent, or harmful purpose
• Upload or share content that's offensive, defamatory, or infringes on others' rights
• Create campaigns that promote illegal products or services
• Try to damage, disable, or interfere with our platform's functionality
• Attempt to access other users' accounts or our systems without authorization
• Use automated tools like bots or scrapers to extract data from our platform
• Reverse engineer or attempt to copy our technology
• Impersonate anyone or misrepresent your identity or affiliation
• Collect personal data from others without proper consent
• Interfere with other users' ability to use our Services

Some of our Services require payment. Here's what you need to know about fees and billing:

• Payment authorization: By providing payment details, you authorize us to charge the agreed fees to your chosen payment method
• Billing schedule: Service fees are typically billed monthly or as agreed in your contract
• Project-based billing: Custom software development projects are billed according to your project agreement
• Late payments: Overdue payments may result in service suspension and late fees as permitted by Estonian law
• Refunds: Fees are generally non-refundable except as required by law or agreed in your contract
• Taxes: You're responsible for all applicable taxes unless you provide valid tax exemption documentation

We may suspend or terminate Services for non-payment. You remain responsible for all outstanding fees plus any collection costs.

All content, software, designs, trademarks, logos, and materials available through our Services are owned by Click Wise or our licensors. They're protected by Estonian, EU, and international copyright, trademark, and intellectual property laws.

Your Content: You own the advertising content, creative materials, and data you upload to our platform. By uploading content, you give Click Wise permission to use, display, and modify it solely to provide our Services to you.

Custom Development: For custom software projects, ownership terms will be clearly specified in your project agreement. Typically, you own the final deliverables while we retain ownership of any underlying technology or frameworks.

You guarantee that any content you upload doesn't infringe on anyone else's intellectual property rights and that you have all necessary permissions to use it.

We take your privacy seriously and comply with GDPR, Estonian data protection laws, and all applicable EU privacy regulations. Our Privacy Policy explains in detail how we collect, use, and protect your personal information.

By using our Services, you acknowledge that we'll process personal data according to our Privacy Policy. If you provide us with personal information about others (like campaign audience data), you confirm that you have proper consent and comply with applicable data protection laws.

To the extent permitted by Estonian and EU law, we provide our Services "as is" without warranties of any kind. We don't guarantee that our Services will always be available, error-free, or secure.

Click Wise and its team won't be liable for any indirect, incidental, or consequential damages (like lost profits, data loss, or business interruption) arising from your use of our Services, even if we've been told such damages might occur.

Our total liability to you for all claims related to our Services won't exceed the amount you paid us in the twelve months before your claim, or €100, whichever is greater.

Some jurisdictions don't allow certain warranty exclusions or liability limitations. In those cases, our liability will be limited to the maximum extent allowed by law.

You agree to protect and defend Click Wise, our team, partners, and affiliates from any claims, damages, costs, or expenses (including legal fees) arising from:

• Your use or misuse of our Services
• Your violation of these Terms or any applicable laws
• Your content, including any copyright or privacy violations
• Your marketing campaigns, including any false or misleading advertising
• Disputes between you and third parties related to your use of our Services

If we need to defend against any claims covered by this section, we may take control of the defense, and you agree to cooperate with us.

These Terms remain in effect as long as you use our Services. You can close your account anytime by contacting our support team. When your account is closed:

• Your access to our Services stops immediately
• You remain responsible for any fees owed before termination
• We may delete your account data according to our data retention policies
• Some sections of these Terms (like intellectual property rights and dispute resolution) continue to apply

If we terminate your account for violating these Terms, you may forfeit any prepaid fees, and we may pursue legal action for damages.

These Terms are governed by the laws of the Republic of Estonia. Any disputes will be interpreted according to Estonian law, without regard to conflict of law principles.

Complete Agreement: These Terms, along with our Privacy Policy and Cookie Policy, represent the complete agreement between you and Click Wise regarding our Services.

Severability: If any part of these Terms is found to be invalid or unenforceable, the rest of the Terms remain in full effect.

No Waiver: If we don't enforce a right or provision in these Terms, it doesn't mean we're waiving that right. Any waiver must be in writing and signed by an authorized Click Wise representative.

Assignment: You can't transfer these Terms or your rights under them without our written permission. We may transfer our rights and obligations to any affiliate or successor company.

Third Parties: These Terms don't create any rights for third parties. Only you and Click Wise can enforce these Terms.

Language: These Terms are written in English. If translated, the English version controls in case of any conflict.

Unforeseen Circumstances: We're not liable for delays or failures caused by events beyond our reasonable control, such as natural disasters, wars, internet outages, or government actions.
